Free IRIS for a Year — Official Offer Terms (Draft for Legal Review)

THIS OFFER REQUIRES CUSTOMER TO PURCHASE A NEW VISION AI SUBSCRIPTION. LIST PRICE FOR OVERJET'S PRODUCTS AND SERVICES IS NOT REDUCED OR ALTERED BY THIS OFFER.

1. ELIGIBILITY

The Overjet "Free IRIS for a Year" offer ("Offer") is open only to dental practices located in the United States that (a) are not, and have not previously been, an Overjet customer for Vision AI or IRIS, and (b) operate between one (1) and five (5) practice locations (each, an "Eligible Customer"). Practices that currently subscribe to Vision AI without IRIS, and practices reactivating a previously cancelled Overjet subscription, are not eligible. Only one Offer redemption is permitted per Customer and its affiliates, as determined by Overjet in its sole discretion. Overjet, Inc. ("Overjet," "Sponsor," or the "Company") reserves the right to determine Eligible Customer status in its sole discretion. The Offer is void where prohibited by law.

3. AGREEMENT TO OFFICIAL TERMS

By redeeming the Offer, Customer agrees to be bound by these Official Offer Terms in addition to, and not in place of, the Order Form and the Overjet Master Subscription Agreement (or other applicable governing agreement) executed by Customer. In the event of a conflict between these Official Offer Terms and Customer's Order Form, or the Master Subscription Agreement the Order Form and Master Subscription Agreement will control.

4. OFFER PERIOD

The Offer begins on the date these terms are published and ends at 11:59 p.m. Eastern Time on September 30, 2026 (the "Offer Period"). An Eligible Customer must execute an Order Form for a new Vision AI subscription during the Offer Period in order to redeem the Offer. Order Forms executed after the Offer Period are not eligible, regardless of any discussions during the Offer Period.

5. HOW TO REDEEM

To redeem the Offer, an Eligible Customer must execute an Order Form for a new Vision AI subscription during the Offer Period. IRIS is provided under this Offer solely as an add-on to an active Vision AI subscription and cannot be redeemed, purchased, or used independently of Vision AI. There is no limit on the number of Eligible Customers who may redeem the Offer.

6. OFFER DETAILS

Upon redemption, Customer will receive its first twelve (12) months of IRIS at no charge (“Promotional Period”), beginning on the Order Form's effective date, contingent on Customer maintaining an active Vision AI subscription throughout that period. If Customer's Vision AI subscription terminates for any reason during the 12-month period, IRIS will terminate concurrently and Customer will not be charged for IRIS. Overjet will provide notice of renewal thirty (30) days prior to the end of the Promotional Period. IRIS will automatically renew following the Promotional Period for an additional twelve (12) month term, unless and until either party gives the other notice of nonrenewal prior to the end of the then-current term. Upon expiration of the twelve (12) month period, IRIS will automatically convert to Overjet's then-current list price for IRIS (not to exceed the current list price of $149/month as of the date of these terms) (“Post-Promotional Price”) and be billed in accordance with the payment terms of Customer's Order Form, unless Customer terminates IRIS prior to such date in accordance with the terms of its governing agreement. Overjet's list price for its products and services is not changed by this Offer. As part of executing an Order Form, Customer will be required to provide valid payment information, which Overjet will retain and use to bill Customer for Vision AI during the Offer Period and for IRIS following the automatic conversion as described in this Section 6. Customer authorizes Overjet to charge the payment method on file for the Post-Promotional Price upon conversion unless Customer has terminated IRIS prior to the conversion date in accordance with the terms of its governing agreement.

7. PRODUCT DISCLAIMER

IRIS (FDA 510(k) K253930) is intended to assist with image quality assessment. IRIS does not make diagnostic or treatment decisions. All clinical and treatment decisions remain solely the responsibility of the treating dental professional.

8. GENERAL CONDITIONS AND LIMITATIONS OF LIABILITY

Sponsor reserves the right, in its sole discretion, to modify, suspend, or cancel the Offer in its entirety at any time, or to disqualify any prospective Eligible Customer it determines does not meet the eligibility criteria in Section 1, without liability to Overjet. Overjet is not responsible for any delay in, or failure of, Offer redemption arising from Customer's failure to satisfy the requirements of these Official Offer Terms. All other terms of Customer's Order Form and governing agreement with Overjet remain in full force and effect and are unaffected by this Offer, except as expressly modified herein.

9. DISPUTES

All disputes arising out of or relating to these Official Offer Terms shall be governed by, and resolved in accordance with, the governing law and dispute resolution provisions of Customer's Order Form and governing agreement with Overjet.
